01 — Purpose of this notice

This Regulatory Disclaimer sets out the regulatory perimeter of GLOBAL BRIDGE LLC, operating under the commercial name GLOBALBRIDGE. Its purpose is to inform users, counterparties, regulators and supervisory authorities, in clear and verifiable terms, of the activities that GLOBALBRIDGE performs and, equally importantly, of the activities that GLOBALBRIDGE does not perform.

This notice complements the Legal Notice, the Privacy Policy, the Cookie Policy and the Terms of Use and must be read together with them. Where any divergence arises in respect of the regulatory perimeter described on this website, the wording of this Regulatory Disclaimer prevails.

02 — What GLOBALBRIDGE does

Within the limits defined in this notice, GLOBALBRIDGE acts as a corporate intermediary and strategic coordinator for cross-border matters at their preliminary stage. Specifically, GLOBALBRIDGE:

• Identifies, qualifies and presents corporate opportunities to qualified parties, under confidentiality, non-circumvention and non-disclosure frameworks.
• Coordinates the preliminary structuring of corporate routes, participation models and execution sequences across selected jurisdictions.
• Prepares and organises documentation associated with AML, KYB and counterparty due diligence requirements, for review by regulated providers and supervisory authorities.
• Manages disclosure discipline, traceable communication channels and access to opportunities in sensitive corporate matters.
• Coordinates with independent regulated professionals — including law firms, fiduciary firms, tax advisers, auditors, notaries, licensed payment institutions and banks — each acting under their own authorisation and professional responsibility.

03 — What GLOBALBRIDGE does not do

GLOBALBRIDGE is not authorised, licensed or supervised as a regulated financial intermediary in any jurisdiction. GLOBALBRIDGE does not perform, and does not hold itself out as performing, any of the following regulated activities:

• Banking services, deposit-taking or credit-granting in any form.
• Payment services or electronic money services.
• Investment services, portfolio management, reception or transmission of client orders, execution of orders on behalf of clients, dealing on own account, underwriting, placing or operation of multilateral or organised trading facilities.
• Investment advice, financial advice or any other regulated advisory service subject to authorisation.
• Insurance distribution or any other regulated insurance activity.
• Public offering of securities, fund management, alternative investment fund management or the marketing of collective investment schemes.
• Provision of crypto-asset services, custody of crypto-assets or any activity falling within the scope of Regulation (EU) 2023/1114 (MiCA) or equivalent frameworks.
• Tax advice, statutory audit or any other professional service reserved to licensed practitioners under applicable law.

Where any such regulated activity is required in the context of a mandate, it is performed exclusively by independent licensed third parties, under their own authorisation and supervision.

04 — No offer, no solicitation

Nothing on this website constitutes an offer, solicitation, recommendation or invitation to buy, sell, subscribe for or otherwise transact in any security, financial instrument, banking product, payment product, electronic money product, crypto-asset, insurance product, fund or other regulated product or service, in any jurisdiction in which such offer, solicitation, recommendation or invitation would be unlawful or would require registration, authorisation or any other regulatory step that has not been completed.

06 — Jurisdictional reservations

Users are responsible for ensuring that their access to and use of this website, and any subsequent engagement with GLOBALBRIDGE, comply with the law applicable to them.

GLOBALBRIDGE may decline to engage with prospective counterparties located in jurisdictions that are subject to international sanctions, that pose unacceptable compliance risks or in which engagement would require authorisation that GLOBALBRIDGE does not hold. The acceptance of any mandate is subject in all cases to the conflict-of-interest, sanctions and counterparty due diligence checks described in the Compliance page.
